Directors’ Report
The Directors have pleasure in submitting their report together with the audited financial statements of The Straits Trading
Company Limited (the “Company”) and consolidated financial statements of the Group for the year ended 31 December 2012.
DIRECTORATE
The Directors in office at the date of this report are:

Mr Gautam Banerjee
Ms Chew Gek Khim and Mr Tham Kui Seng retire pursuant to Article 99 of the Articles of Association and being eligible, offer
themselves for re-election.
Mr Gautam Banerjee retires pursuant to Article 103 of the Articles of Association and being eligible, offers himself for re-election.
Tan Sri Dato’ Dr Lin See-Yan and Mrs Elizabeth Sam both retire pursuant to Section 153(2) of the Companies Act, Cap. 50.
A resolution will be proposed for their re-appointment as Directors under Section 153(6) of the said Act to hold office until
the next Annual General Meeting of the Company.
ARRANGEMENTS TO ENABLE DIRECTORS TO ACQUIRE SHARES AND DEBENTURES
Neither at the end of nor at any time during the financial year was the Company a party to any arrangement whose objects
are, or one of whose objects is, to enable the Directors of the Company to acquire benefits by means of the acquisition of
shares or debentures of the Company or any other body corporate.
